This Services Agreement (“Agreement”) is entered into by and between VYOM Properties LLC, including its subsidiaries and affiliates (collectively, “VYOM,” “we,” “us,” or “Company”) and the undersigned party (“Customer,” “Property Owner,” “You,” or “Your”). This Agreement governs the terms under which VYOM provides services to You via the website www.vyom.ae (“Website”).

a. Silver Listing Service: VYOM offers a Silver Listing Service, enabling the Property Owner or any of their representatives to list properties on the Website. The Property Owner has the right to upload custom pictures and add custom features regarding their property, subject to the limitations and conditions outlined in this Agreement.

Includes:

• Listing of property for a period of upto 90 calendar days.
• Allows homeowner to update property images in case of ready to move properties limited to three times during the listing period.

Any change in property details by the Homeowner can be subjected to review.

b. VYOM Platinum: This Paid Service Package includes everything in SilverListing, plus property snagging and professional photography conducted by VYOM.

c. VYOM Diamond: This premium service includes all features of VYOM Platinum, plus a dedicated property manager. Additional terms apply, as set out in a separate agreement.

a. Ownership of Custom Pictures: Any custom pictures uploaded by the Property Owner on VYOM become the intellectual property of VYOM upon submission. The Property Owner agrees that VYOM holds the copyright to these images, and the Property Owner waives any right to raise a copyright dispute against VYOM concerning these pictures.

b. VYOM's Right to Pictures: Professional photographs taken by VYOM as part of VYOM Platinum or VYOM Diamond services will be VYOM's copyright. The selection of which photographs to upload on the Website is at VYOM's sole discretion. The Property Owner does not hold any ownership over these photographs and cannot use them for any other purposes without VYOM's express written permission.

c. Picture Upload Limitations: The Homeowner is permitted to upload a maximum of 30 pictures per property listing at any given time. These pictures may be changed no more than twice per calendar month. Any attempt to modify the pictures beyond this limit will either be automatically disallowed by the system or rejected by VYOM's approval process.

a. Verification and Approval: All pictures and custom features submitted by the Property Owner will be subject to manual or intelligent computer verification by VYOM. VYOM's decision regarding the approval or rejection of such content is final, and the Property Owner has no right to object. VYOM reserves the right to determine which data to publish on the Website and may reject other data at its discretion based on internal guidelines.

a. Phone Number Disclosure: The Property Owner has the option to reveal their phone number when listing a property. In such cases, VYOM is not liable for any misuse, fraudulent activities, or spam calls that may result from the disclosure. If the Property Owner chooses to hide their number, potential buyers can contact the Property Owner via messages. VYOM does not assume liability for the quality, content, or any offensive language in these communications, as VYOM merely provides the platform for interaction.

a. Registration Verification: Both Property Owners and potential buyers must register on VYOM, verifying their email and phone number. Property brokers and real estate agents are required to identify themselves for transparency. Any misrepresentation in identifying oneself as a Broker or otherwise, or failure to disclose true identity may result in permanent blocking from the platform.  VYOM is not responsible for any misrepresentation, lying, rude behaviour, or concealment of facts by potential buyers, brokers, or agents.

a. Snagging and Photography Access: For VYOM Platinum services, snagging and photography will be conducted at a mutually convenient time. The Property Owner must ensure that VYOM personnel have necessary access to the property to perform these services properly. Repeated unavailability of the Homeowner or other circumstances preventing access to the property will be construed as a loss of service, resulting in forfeiture of fees. Any change in the mutually agreed time for snagging or photography will only be possible with VYOM's consent, based on VYOM's team availability and at VYOM's sole discretion.

a. Snagging Procedure: In case a property fails the initial snagging inspection, VYOM will perform one additional snagging inspection at no extra cost. If the property fails the second inspection, any further snagging will incur additional charges. These charges will be communicated by VYOM's employees, customer support, partners, or agents, and must be paid by the Property Owner from the third attempt onward. If snagging is not conducted during the service tenure and the service period expires, VYOM will not be liable.

a. Service Duration: All VYOM services are provided for a specified duration, which may be extended by VYOM at its discretion. These services are not auto-renewable. It is the Homeowner’s responsibility to renew them before expiration.

b. Premature Termination: VYOM reserves the right to terminate services prematurely in the event of a breach of this Agreement by the Property Owner.

c. Platinum Listing Publication: For VYOM Platinum services, the listing will initially be made live as a Silver Listing. The listing will only be upgraded to an Platinum Listing once the snagging and property verification are successfully completed.

a. Price Changes and Promotions: VYOM reserves the right to change the prices and any promotional offers on its services, including but not limited to Silver Listing, VYOM Platinum, and VYOM Diamond, at any time without prior notice.

a. Non-Refundable Payments: All payments made for services are non-refundable. If the Property Owner decides not to avail the services after payment, no partial or full refunds will be issued.

a. Updating Listings: The Property Owner agrees to keep their property listing up-to-date. If the property is sold (whether through VYOM or otherwise), or if the Property Owner is no longer interested in selling, they must withdraw the listing immediately.

b. Accuracy of Listing Information: The Property Owner must provide accurate information in their listing. The Property Owner is prohibited from misleading potential buyers, including altering the listed price after publication. Any misrepresentation or false data may lead to the removal of the listing at VYOM's discretion, and all paid service fees will be forfeited.

a. Contact by VYOM: By using VYOM's services, the Homeowner agrees to be contacted by VYOM through any communication channel, including but not limited to SMS, phone calls, and email. VYOM may contact the Homeowner to obtain more details regarding a listing, inquire about any activities performed by the user, or address any queries or complaints raised by the user.

a. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Emirate of Dubai, United Arab Emirates, without regard to its conflict of law provisions.

b. Jurisdiction: Any disputes arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.

By using VYOM's services, you agree to be bound by the terms of this Agreement. VYOM reserves the right to amend or update these terms at any time, with changes effective immediately upon posting on the Website.
